Agreement is made between Volt Electric USA, Inc. (“Volt Electric”) and:

SECTION 1. SCOPE. Volt Electric agrees to furnish all labor, materials, equipment and other facilities required to complete the work as described below together with such additions and deletions as may from time to time be agreed upon by Volt Electric and Owner/Contractor (“the Work”).

SECTION 2. PRICE AND PAYMENT. Owner/Contractor agrees to pay Volt Electric the cost to complete the Work and not the estimated quote from Volt Electric to complete the Work. The estimated quote is only an estimate is not a promise to complete the Work for the amount estimated. “Cost” shall mean any and all costs incurred in performing the Work, including, but not limited to, labor and material costs. Cost will not be finally determined until the completion of the Work.

Owner/Contractor agrees to pay to Volt Electric a deposit for the amount outlined above under "Deposit". Volt Electric will not begin the Work until receipt of this deposit. Owner/Contractor agrees to pay any amounts invoiced for the Work within fifteen (15) days of receipt of the invoice. Interest shall incur on any unpaid invoices at a rate of 18% per annum with said interest beginning to incur the sixteenth day after the invoice is presented to Owner/Contractor. Owner/Contractor’s failure to pay outstanding invoices when due shall give Volt Electric the right to cease work until payment is received. Cessation of work by Volt Electric for Owner/Contractor’s failure to timely pay any invoice then due shall not be considered a breach of this Agreement by Volt Electric.

SECTION 3. SITE ACCESS AND RIGHTS OF WAY. Owner/Contractor shall provide all necessary access to the lands upon which the Work is to be performed and hereby grants permission for Volt Electric to enter the lands upon which the Work is to be performed.

SECTION 4. ATTORNEY’S FEES AND COSTS. Owner/Contractor agrees to pay reasonable attorneys’ fees and costs of Volt Electric to employ an attorney or other agent to pursue collection of any debt, invoice or monetary obligation arising out of the services provided by Volt Electric or to enforce any other provision of this Agreement.

SECTION 5. MISCELLANEOUS. This Agreement represents the entire agreement between Volt Electric and Owner/Contractor and supersedes any prior written or oral representations. The Parties agree that this Agreement may be signed in electornic form and with electronic signatures. No modification of this Owner/Contractor shall be binding unless agreed upon by Volt Electric and Owner/Contractor in writing. This Agreement is governed by the laws of the State of North Carolina.
